Neither Assignor nor Assignee shall have <br />authority to act as an agent of City or to bind City to any obligation. <br />12.11 Further Assurances. The parties agree to execute such further instruments and to <br />take such further actions as may be necessary or desirable in order to implement this Agreement. <br />12.12 Counterparts.
