8.A. - Page 13 of 73 Attachment B <br />JOINT EXERCISE OF POWERS AGREEMENT <br />SILICON VALLEY CLEAN WATER <br />Supplemental Agreement IX <br />THIS SUPPLEMENTAL AGREEMENT IX TO JOINT EXERCISE OF POWERS <br />AGREEMENT dated as of April 1, 2019 (the "Ninth Supplement"), by and among the <br />City of Belmont, a general law City, City of Redwood City, a chartered City, City of San <br />Carlos, a general law City and West Bay Sanitary District, formerly named the Menlo <br />Park Sanitary District), a sanitary district, (each a "Party" and together the "Parties"), <br />supplements and amends that certain Joint Exercise of Powers Agreement dated <br />November 13, 1975, as amended to the date hereof (as amended, the "Joint Powers <br />Agreement"), by and among the Parties (or their predecessors, as applicable). <br />RECITALS: <br />WHEREAS, in order to provide for the transmission, treatment and disposal of <br />wastewater, the Parties (or their predecessors, as applicable) have previously entered <br />into the Joint Powers Agreement under which Silicon Valley Clean Water (formerly <br />known as the South Bayside System Authority) has been organized as a joint powers <br />authority (the "Authority"); and <br />WHEREAS, the Joint Powers Agreement has heretofore been amended by eight (8) <br />Supplemental Agreements, dated for convenience as of June 8, 1977, June 1, 1983, April <br />26, 1984, September 18, 1985, March 13, 2008, March 8, 2012, December 12, 2013 and <br />May 10, 2018, respectively; and <br />WHEREAS, in order to facilitate financing of additional projects by the Authority, <br />including interim financing for such projects, the Parties desire to approve this Ninth <br />Supplement; and <br />WHEREAS, Section 9.5 of the Joint Powers Agreement provides the parties <br />thereto may amend the Joint Powers Agreement by supplemental agreement executed <br />by all of the parties thereto; and <br />527 <br />
