8.A. - Page 25 of 73 <br />Section 11. Governing Law. This Second Amendment shall be construed and <br />governed in accordance with the laws of the State of California applicable to contracts made and <br />performed in such state. <br />Section 12. Partial Invalidity. If any section, paragraph, sentence, clause or phrase <br />of this Second Amendment shall for any reason be held illegal, invalid or unenforceable, such <br />holding shall not affect the validity of the remaining portions of this Second Amendment. The <br />parties hereby declare that they each would have entered into this Second Amendment and each <br />and every other section, paragraph, sentence, clause or phrase hereof irrespective of the fact that <br />any one or more sections, paragraphs, sentences, clauses, or phrases of this Second <br />Amendment may be held illegal, invalid or unenforceable. <br />Section 13. Execution in Counterparts.
