8.A. - Page 28 of 73 <br />report may be part of a combined financial audit or report covering all or part of the City's <br />finances." <br />Amendments to Section 13 of the Financing Agreement. (a) Solely with respect the <br />WIFIA Loan and the WIFIA Lender, the Authority and the City hereby agree that the first paragraph <br />of Section 13 of the Financing Agreement is hereby amended and restated as follows: <br />"The City agrees that it will execute and deliver any and all such closing certificates, <br />agreements, instruments or other assurances, and shall provide such other reports, documents <br />and financial information, as may be reasonably requested by the Authority to complete the WIFIA <br />Financing Program. Without limiting the generality of the foregoing, the City agrees to:" <br />(b) Solely with respect the WIFIA Loan and the WIFIA Lender, the Authority and the <br />City hereby agree that the first paragraph of Section 13 of the Financing Agreement is hereby <br />amended to add the following as subsection (c): <br />"(c) execute, deliver and furnish, as applicable, such information as the Authority may <br />request in order to satisfy its obligations under the WIFIA Loan Agreement." <br />Amendment to Section 20 of the Financing Agreement. Solely with respect the WIFIA <br />Loan and the WIFIA Lender, the Authority and the City hereby agree that Section 20 of the <br />Financing Agreement is amended and restated as follows: <br />"The Bond Trustee, the WIFIA Lender and any insurer of the Bonds are each hereby made <br />a third party beneficiary hereof and are entitled to the benefits of this Agreement with the same <br />force and effect as if the Bond Trustee, the WIFIA Lender and Bond insurer were a party hereto." <br />A-3 <br />542 <br />
