Agreement for TruePoint Services ORIGINAL City of Redwood City PROFESSIONAL SERVICES AGREEMENT between CITY OF REDWOOD CITY and TRUEPOINT SOLUTIONS, LLC. for the Purchase and Implementation of the TrueBill Customer Information System This PROFESSIONAL SERVICES AGREEMENT, hereinafter referred to as "Agreement," is made and entered into this _ a l day of M 44A U J, by and between the City of Redwood City, a charter city and municipal corporation of th tate of California ("CITY"), and TruePoint Solutions, LLC, a California Limited Liability company ("Consultant"). Whereas, CITY requires a Utility Billing Customer Information System in conjunction with its Utility Billing System. Whereas, the Consultant has demonstrated expertise in various aspects of Customer Information Systems and Field Data Collection Software and is qualified to provide the professional services required by CITY. Whereas, CITY and Consultant desire to enter into a contract for the provision of professional services for the License, Installation, and Annual Maintenance of TrueBill Software as delineated in the Scope of Work attached hereto as Exhibit A, subject to the terms and conditions of this Agreement. NOW THEREFORE, in consideration of the promises and covenants hereinafter contained, it is mutually agreed as follows: 1.0 DEFINITIONS 1.1 "Customer Data" means all data created or in any way originating with Customer, and all data that is the output of computer processing of or other electronic manipulation of any data that was created by or in any way originated with the Customer, whether such data or output is stored on the Customer hardware, Consultant hardware or exists in any system owned, maintained or otherwise controlled by the Customer or by Consultant. "Customer Data" includes information relating to a person that identifies the person by name and has any of the following personally identifiable information: government -issued identification numbers (e.g., Social Security, driver's license, passport); financial account information, including account number, credit or debit card numbers; or Protected Health Information (PHI) relating to a person. "Customer Data" further includes data other that is not subject to distribution to the public as public information. It is deemed to be sensitive and confidential by the City because it contains information that is exempt by statute, ordinance or administrative rule from access by the general public as public information. 1.2 "Confidential Information" is defined in Section 5.0. 1.3 "Contract Officer' mean the representative of CITY authorized to act on its behalf with respect to the work and services specified herein and make all decisions in connection therewith. The City may provide updated contact information by written notice to Consultant at any time during the Term. 1.4 "Data Breach" means the unauthorized access by a non -authorized person/s that results in the use, disclosure or theft of Customer Data. 1.5 "User Acceptance" means successful use of the Solution by City in a production environment for a period of thirty (30) days of error free operation past the go live date.
