AMENDMENT NO. 1 <br />TO PROFESSIONAL SERVICES AGREEMENT <br />(TruePoint Solutions, LLC) <br />This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as <br />of the 7th day of April <br />Redwood City, a charter city and <br />and TruePoint Solutions, LLC, <br />(collectively, the "Parties"). <br />2021, by and between the City of <br />municipal corporation of the State of California ("City"), <br />a California limited liability company ("Consultant") <br />RECITALS <br />A. The Parties previously executed that certain Professional Services <br />Agreement, dated as of May 21, 2019, (the "Original Agreement"). <br />B. Currently, the City is in the first year of operational use of the new utility <br />billing system and also in the middle of several ongoing projects that will impact the billing <br />system. The City will require software development services from the Consultant, either <br />through direct integration or reconfiguration. <br />C. For example, the City is in the process of implementing both the new Oracle <br />financial and human capital management system, with an anticipated go -live date of July <br />1, 2021, and also the accompanying iPayment cashiering software, with an anticipated <br />go -live date of October 2021. <br />D. The City is also exploring the feasibility of collecting some sewer charges <br />on the County of San Mateo property tax rolls and would like to definitively determine <br />whether the utility billing system has this capability. <br />E. The City has additionally identified significant operational efficiencies and <br />improved customer experience through the implementation of an add-on portal that allows <br />outside inspectors to directly input annual testing results for backflow prevention devices, <br />known as a Backflow Prevention Field Inspector Portal. <br />F. Lastly, the City anticipates additional services from the Consultant may be <br />necessary to implement current ongoing projects, to considerably improve operations and <br />reduce staff time, to maintain existing functionality with the 16 integrated databases, or to <br />support any future billing -related projects initiated by the City Council. <br />G. The Consultant has consistently displayed their ability to deliver a functional <br />utility billing system for the City that is most cost-effective and meets the needs of the <br />City. <br />H. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />"A", incorporated herein by reference. <br />REV: 03-04-2021 PR <br />ATTY/AGR.Amend No. 1/TruePoint Solutions, LLC (Page 1 of 6) <br />
