tib`i b( L1J1 ORIGINAL AGREEMENT BETWEEN THE CITY OF REDWOOD CITY AND CROWN CASTLE FIBER LLC FOR THE INSTALLATION OF WIRELESS EQUIPMENT This Agreement is entered into as of MAI 23 , 2019 (`Effective Date") by and between the City of Redwood City, a California municipal corporation and charter city ('City') and Crown Castle Fiber LLC, a New York limited liability company (`Company') (collectively referred to the "parties" or individually as the "party). RECITALS A. Company is authorized to provide Wireless Services (as defined herein) in the State of California by the California Public Utilities Commission. B. Company desires to install Equipment (as defined herein) from time to time within the Public Way (as defined herein) within City in order to provide Wireless Services. C. City has the authority to regulate the terms and conditions for use of the Public Way and land use within the corporate limits of the City. D. The purpose of this Agreement is to provide the general framework within which Company will apply for necessary encroachment permits and install its Equipment within the corporate limits of the City. The parties do not intend the Agreement to give Company a right to the award of any such permits. AGREEMENT In consideration of the Recitals set forth above, the mutual promises and terms and conditions of this Agreement and other valuable consideration, the adequacy of which is hereby acknowledged, the parties hereto agree as follows: ARTICLE 1 DEFINITIONS 1.1 Company — means Company, and its lawful successors or assigns. 1.2 City — means the City of Redwood City, a charter city and municipal corporation of the State of California, including the duly elected or appointed officers, agents, employees, and volunteers of the City of Redwood City, individually or collectively. 1.3 City Engineer — means the City Engineer of the City of Redwood City, California. 1.4 Equipment — means antennas, fiber optic cables, wires, and related equipment, whether referred to singly or collectively, to be installed and operated by Company. Any Equipment must receive prior written approval from the City before it may be installed or placed on or in the Public Way. 1.5 Public Way or Public Rights -Of -Way — means the surface of and the space in, above, along, across, and over any public streets, roads, lanes, courts, ways, alleys, boulevards, sidewalks, bicycle lanes, and similar places, including all public utility easements and public service easements as the same now or may hereafter exist, and other public ways, including driveways, curbs, gutters, paving, or other surface and subsurface drainage structures or facilities and any public place, AT-FY/AGR/2019.105/CROWN CASTLE FIBER, LLC REV: 04-23-19 DZ Page 1 of 21
