Public Way which is the subject of this Agreement, in a manner that is in all respects safe and in accordance with all applicable laws. 11.4. In the event Hazardous Substances are discovered in violation of any applicable law, Company shall disclose to the City the specific information regarding Company's discovery of any Hazardous Substances placed, by Company, on, under, about or within the Public Way which is the subject of this Agreement, and provide written documentation of its safe and legal disposal, to the extent that Company is required to dispose of same hereunder. Breach of any of these covenants, terms, and conditions, and Company's failure to cure within thirty (30) days of Company's receipt of written notice from the City, shall give the City the authority to either immediately terminate this Agreement or to shut down Company's operations thereon, at the sole discretion of the City. In either case, Company will continue to be liable under this Agreement to remove and mitigate all Hazardous Substances placed by Company on, under, about or within the Public Way which is the subject of this Agreement. ARTICLE 12 MISCELLANEOUS PROVISIONS 12.1 Representations and Warranties. Each party represents and warrants that it has the full right and authority to enter into, execute, deliver and perform its obligations under this Agreement and that this Agreement constitutes a legal, valid and binding obligation enforceable against such party in accordance with its terms, subject to bankruptcy, insolvency, creditors' rights and general equitable principles. The Company represents and warrants that it has any and all authorizations and approvals from state and federal regulatory agencies including the California Public Utilities Commission and the Federal Communications Commission as are necessary for the activities and Equipment contemplated by the Agreement and that Company is in compliance in all material respects with its obligations under such authorizations. 12.2 Notices.
