23.ENTIRE AGREEM.... . ,..._........................_...._....._....-.....__..__............._........._.................,..............-........_..__...._........._.........................._............................._.......................,.....___...._.._........__............... 23.1 You agree that this Agreement and the information which is incorporated into this Agreement by written reference (includingreferenceto information contained in a URLor referenced policy), together with the appl ica ble order, is the complete agreement forthe Services ordered by You andsupersedes all prior or contemporaneous agreements or representations, written or oral, rega rdi ng s uch Services. 23.2 It is expressly agreed that the terms of this Agreement and any order shall supersedethe terms in any purchase order, procurement internet portal, or other similar non -Oracle document and no terms included in any such purchaseorder, portal, or other non-Oracledocument shall applytothe Services ordered. In the event of any inconsistencies between the terms of an order and the Agreement, the Agreement shall take precedence; however, unless expressly stated otherwise in an order, the terms of the Data Processing Agreement shall take precedence over any inconsistent terms in an order and this Agreement. Except as otherwise permitted in Section 5 (Service Specifications), Section 10 (Data Protection) and Section 14 (Third Party Web Sites) with respect to the Services, this Agreement and orders hereunder may not be modified and the rights and restrictions may not be altered or waived except in a writing signed by authorized representatives of You and CherryRoad. Except as set forth in Section 22.1, no third party beneficiary relationships are created by this Agreement. 24.
