A. DESCRIPTION AND PRICES FOR ORDERED CLOUD SERVICES <br />1. Cloud Services Ordered <br />CherryRoad has ordered the cloud services described above fordistribution to the end user identified above. <br />B. TERMS AND FEES FOR ORDERED CLOUD SERVICES <br />1. Currency: <br />All fees on this ordering document are in US Dollars. <br />2. Terms: <br />All productsand services listed on this ordering document are provided by CherryRoad under, and subjectto,the <br />terms of this ordering document, including the agreement and all documents referenced in this ordering <br />document. You indicate youragreementto the terms of this ordering document, includingthe agreement, by <br />signing this orderi ngd ocu me nt, andyou represent that you have the authorityto bind the company to whom this <br />ordering document is addressed aboveto the terms of this ordering document and the agreement. Anyterms and <br />conditions on your purchase order are void and have no legal effect. Forcloud services, you may not reducethe <br />quantity of services purchased hereunder (e.g., user or record counts, storage, etc.), in whole or in part, during <br />the services period set forth above. The services period forthe cloud services commences on the date stated in <br />this ordering document. If no date is specified, then the "Cloud Services Start Date" for each cloud service will be <br />the date that the end user is issued access that enables the end userto activate the end user's cloud services (the <br />"Cloud Services Start Date"). <br />3. Fees: <br />The cloud services payment frequency applies to all cloud services fees and taxes. All fees payable to CherryRoad <br />are due within 30 days from the invoice date. Once placed, your order is non -cancelable and the sums paid <br />nonrefundable, exceptas otherwise provided hereinorinthe agreement.You will pay any sales, value-added or <br />other similartaxes imposed by applicable law that CherryRoad must pay based on the cloud services you <br />ordered, except for taxes based on CherryRoad's income. Unless, specifically stated otherwise, fees for cloud <br />services listed in an orderare exclusive of taxes and expenses. You agree not to disclose the terms of this ordering <br />document to any third party. <br />Cloud Services Payment Frequency: Payment frequency is Annual in Advance <br />4. Offer Va I i d ity: <br />This order is valid through 31 -MAY -2019 and shall become binding upon execution by you and acceptance by <br />CherryRoad and Oracle. <br />s. Data Center Region <br />CherryRoad shall notifythe end userthatthe end user's services environment (as defined inthe end usercloud <br />services agreement) will reside in the data center region identified in the table above. <br />Data Security for Cloud Services. During the term, CherryRoad wiII(i) ensure ISO/IEC27001corn pIianceforthe <br />Cloud Services infrastructure ore quivalent ce rtification; (ii) provide no less protection that is stated in the terms <br />of the Data Process ingAgreementforOracle Cloud Services dated JuIy27, 2018, and the Oracle Corporate Security <br />Practices effective May 15, 2018 ("Security Policies"); and (iii) report any data breach incident to You and the City <br />within the time frames setforth in the Security Policies.
