ATTACHMENT D <br />CORE IPAYMENT ASP MODULE TERMS <br />Customer is subscribing to the CORE ASP Service (as defined in Section 2 below). CORE will provide <br />Customer's Authorized Users (as defined in Section 2.a. below), access to the iPayment ASP, which allows <br />for the processing of configured transaction types for the receipting of payments. <br />Effective Date and Term. The effective date of this Attachment is set forth in Section 3 of the <br />Software License & ASP Hosting Services Agreement for iPayment Enterprise (the "Agreement"). <br />2. Definitions <br />"COREASP Service". The term "CORE ASP Service" as used in the Agreement is inclusive of the <br />CORE iPayment Admin Portal ASP Module, Core iCashiering ASP Module and the CORE Business <br />Center ASP Module. This term may be amended by written agreement of the parties to include <br />additional products, services and modules. <br />"iPayment Admin Portal ASP Module" CORE's hosted iPayment Enterprise Software (iPayment <br />ASP) ASP Services and all other software and documentation, as implemented by CORE from time <br />to time. iPayment ASP provides the Customer's Authorized Users research, reporting and other <br />features as determined by the Specifications (as defined in Section 2.1. below). <br />"CORE iCashiering ASP Module" CORE's hosted CORE iPayment Enterprise - iCashiering <br />Software, and all other software and documentation, as implemented by CORE from time to time, <br />and any software supplied by CORE for installation by Customer at its site in connection with the <br />Payment ASP Service for the purpose of Customer's Authorized Users receipting of Customer's <br />revenue and additional features as determined by the final Specifications. <br />"CORE Business Center ASP Module" CORE's hosted iPayment Enterprise - Business Center <br />(iPayment) software, services and all other software and documentation as provided and/or as <br />implemented by COREfor the purpose of providing the Customer's Users (as defined in Section 2.q. <br />below) paying for institutional charges, services, and/or products an ecommerce site to initiate and <br />complete such transaction in accordancewith the Specifications. <br />a. `Authorized User" The designated Customeremployee(s) or agent(s) assigned to access and <br />operate the CORE iCashiering ASP Module forwhom a unique identifier and password have been <br />assigned. <br />b. "Authorized Customer Support Contact" Each of the designated Authorized CustomerSupport <br />Contacts to whom Support (as defined in Section 2.m. below) will be provided by CORE, except <br />by special arrangement or as otherwise specified in the Agreement. <br />c. "COREASPHosting Fees" The quarterly fees to be paid by Customerto CherryRoad for access <br />to the CORE ASP Service and subsequent service modules agreed to by Customer. <br />d. "Customer Revenue" Any payment made by Users of the CORE Business Center ASP or any <br />payment taken by Customer for the benefit of Customer. <br />e.
