DESCRIPTION AND PRICES FOR ORDERED CLOUD SERVICES <br />Redwood City, CA (“You” or “end user”), has ordered the cloud services described above for Your use consistent with this ordering <br />document (“Order”) and the CherryRoad/Oracle Public Sector Cloud Services Agreement executed between You and CherryRoad <br />Technologies Inc. (“CherryRoad”) on May 31,2024 (the “CSA”). <br />B. TERMS AND FEES FOR ORDERED CLOUD SERVICES <br />1. Currency: <br />a. All fees on this Order are in US Dollars. <br />2. Terms: <br />a. All products and services listed on this partner Order are provided by Oracle, through CherryRoad, and subject to the terms of this <br />Order, including the CSA and all Oracle documents referenced in this Order. You indicate Your agreement to the terms of this Order, <br />including the CSA, by signing this Order, and You represent that You have the authority to bind the entity to whom this Order is <br />addressed above to the terms of this Order and the CSA. Any terms and conditions on Your purchase order are void and have no legal <br />effect. For cloud services, You may not reduce the quantity of services purchased hereunder (e.g., user or record counts, storage, <br />etc.), in whole or in part, during the services period set forth above. The services period for the cloud services commences on the date <br />stated in this Order. If no date is specified, then the “Cloud Services Start Date” for each cloud service will be the date that You are <br />issued access that enables You to activate the cloud services (the “Cloud Services StartDate”). <br />3. Fees: <br />a. The cloud services payment frequency applies to all cloud services fees and taxes. All fees payable to CherryRoad are due 30 days <br />from the invoice date. Once placed, your order is non-cancelable and the sums paid nonrefundable, except as otherwise provided <br />herein or in the CSA. You will pay any sales, value-added or other similar taxes imposed applicable law that CherryRoad must pay <br />based on the cloud services You ordered, except for taxes based on CherryRoad's income. Unless, specifically stated otherwise, fees <br />for cloud services listed in an Order are exclusive of taxes and expenses. You agree not to disclose the terms of this Order to any third <br />party. <br />Cloud Services Payment Frequency: Your payment frequency is Annual in Advance. The service specifications applicable to the <br />cloud services and the consulting/professional services ordered may be accessed at www.oracle.com/contracts. <br />Cloud Services Overage Bill To: In the event of an overage as described in the service descriptions, You shall be invoiced for such <br />overage(s). <br />4. Offer Validity: <br />a. This order is valid through 23-JULY-2024 and shall become binding upon execution by You and acceptance by CherryRoad and <br />Oracle. <br />5. Price Hold for Cloud Services: <br />During the services period, You may order additional quantities of the cloud services acquired under this Order at the Unit Net Price <br />specified above. This price hold does not apply to Eloqua Marketing Platform Cloud Service, to any renewals or extensions of the <br />cloud services ordered under this Order, to cloud services ordered pursuant to a separate discount or promotion, or to any cloud <br />services other than those listed in the initial purchase under this Order. <br />C. Additional Terms <br />This Order is subject to and incorporates the Additional Terms in this Section C (the “Additional Terms”). You agree that Oracle is an <br />irrevocable third-party beneficiary of this Order, but Oracle does not assume any of obligations hereunder. Oracle and CherryRoad will <br />have no liability to You arising out of or relating Your non-compliance with the Additional Terms. You agree that should You fail to be in <br />compliance with the Additional Terms, or because of any other circumstance outside of Oracle's control, Oracle may suspend or <br />terminate the cloud services under this Order. In the event of termination, Your right to receive cloud services under this Order is <br />automatically forfeited. <br />1.
