REV: 04-22-26 MI <br />Exhibit “A” <br />CLOUD SERVICES AND FEE <br />1. Cloud Services. <br />Oracle will provide Cloud Services to the City pursuant to the Order and the CherryRoad <br />CSA. The terms and conditions of the CherryRoad CSA and the Order shall solely govern <br />the rights and obligations of the City with respect to any Cloud Services ordered by City <br />through Consultant and the City agrees to adhere to such terms and conditions in its use <br />of the Cloud Services. <br />2. Subscription Term. <br />The Oracle Cloud Services subscription authorized under Amendment No. 9 cover a <br />three‑year subscription term from June 1, 2026 through May 31, 2029, as more <br />particularly described in the Order. <br />3. Fees. <br />City’s payment obligation for the Oracle Cloud Services subscription set forth in the Order <br />during the three‑year subscription term will not exceed the annual and total amounts set <br />forth below: <br />Subscription Year Service Period Annual Oracle cloud <br />subscription fee <br />Year 1 June 1, 2026 – May 31, <br />2027 <br />$525,754.91 <br />Year 2 June 1, 2027 – May 31, <br />2028 <br />$525,754.91 <br />Year 3 June 1, 2028 – May 31, <br />2029 <br />$525,754.90 <br />The total not‑to‑exceed amount for the three‑year subscription term is $1,577,264.72. <br />These amounts are inclusive of all costs and expenses incurred by Consultant for the <br />Oracle Cloud Services subscription described in the Order.
