AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (Construction Testing Services, Inc.) This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as of Mar26,2021 , 2021, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Construction Testing Services Inc.,, a California corporation ("Consultant") (collectively, the "Parties"). The Parties previously executed that certain Agreement for Professional Services with Consultant for geotechnical inspections, other special inspections, and material testing services on an on-call, as needed basis, dated as of June 3, 2019, (the "Original Agreement"). The original "Original Agreement" and "Amendment No. 1" are collectively known as the "Agreement". B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit "A", and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not -to -exceed amount of Thirty -Nine Thousand Nine Hundred and Eighty -Four Dollars ($39,984.00) for the completion of all the services described in Exhibit "A", which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not -to -exceed amount of Ninety -Six Thousand Nine -Hundred and Eighty -Four Dollars ($96,984.00). 3. Unless terminated earlier, the term of this Amendment No. 1 will be a period of two (2) years from the effective date. Including the Original Agreement and Amendment No. 1, the total term of this Agreement is four (4) years from the Effective Date of the Original Agreement. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 6. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this REV: 03-02-2021 PR ATTY/AGR.2021/Amend.
