6.C. -Page 4 of 5 <br />Amendment No. 1 to Agreement for <br />Business License Software and Services <br />HdL Software, LLC and City of Redwood City, CA <br />This Amendment No. 1 is entered into and effective as of the day of f 1 Q , 2019, amending the <br />agreement dated March 6, 2019 (the "Agreement") by and between the City of Re ood City, a charter city and <br />municipal corporation ("City"), and HdL Software LLC, a California Company (HdL) collectively, the "Parties") for <br />business license software and services. <br />Project Summary and Background: <br />The Agreement involves the licensing and implementation of HdL's Prime - Business License software system with Web <br />Renewal Module in addition to other services. In addition to those software licenses and services contained in the <br />Agreement, as may have been amended from time to time, HdL will provide to City two (2) Prime User Licenses to the <br />existing HdL Prime System as set forth below in order to improve the functionality and value of the system. <br />Scope of Work: <br />Add two (2) Prime User Licenses <br />This Scope of Work does not include custom software programing to existing HdL Prime — Business License <br />Software System and Web Modules. <br />Costs: <br />The cost for the above-mentioned work shall be as follows: <br />Two (2) Prime User Licenses - One-time charge of $3,000.00. <br />Increase to existing Annual Use Fee - $800.00 <br />All charges shall be due as specified in the Agreement. <br />City will pay HdL for the Scope of Work described in this Amendment a total of Three Thousand and Eight Hundred <br />Dollars ($3,800), for an aggregate amount of Sixty One Thousand and Six Hundred dollars ($61,600). <br />Requirements: <br />City has existing HdL Prime — Business License with Web Renewals, therefore no technical changes or additional <br />requirements are expected. All other provisions of the Agreement, as may have been amended from time to <br />time, will remain in full force and effect. All requisite insurance policies to be maintained by HdL pursuant to the <br />Agreement, as may have been amended from time to time, will include coverage for this Amendment.
