2. Term. This agreement shall be effective from the date first above written until June 30, 2019. 3. Structure of Redwood Citv 2020 a. Leadership Council. The Redwood City 2020 Leadership Council is composed of up to two voting representatives from each of the collaborative partners' governing policy boards. b. Executive Team. The Redwood City 2020 Executive Team is composed of executive leaders (e.g., superintendent, executive director, chief operating officer, senior manager, etc.) from each of the partner organizations — Cahada College, City of Redwood City, County of San Mateo (Health System and Human Services Agency), Redwood City School District, Sequoia Union High School District, Kaiser Permanente, the Board of Trustees of the Leland Stanford Junior University — Stanford University, the Sequoia Healthcare District. C. The Leadership Council and the Executive Team follow the structure described in Exhibit A (Governance Structure), which is attached hereto and incorporated herein by reference. 4. Redwood City 2020 Staff. It is understood that Redwood City 2020 will require the services of an Executive Director and related support staff for its day-to-day operations. The Leadership Council has designated the City of Redwood City to contract for the Executive Director, Administrative Assistant, and necessary staff positions on behalf of Redwood City 2020. The City serves as the fiscal agent for the employees and related expenses. 5. Funding. With the exception of the Board of Trustees of the Leland Stanford Junior University — Stanford University, which shall contribute twelve thousand five hundred dollars ($12,500), each of the Parties shall contribute at least twenty-five thousand dollars ($25,000) annually to support the work of Redwood City 2020. On behalf of the County, its Health System and HSA will each contribute twelve thousand five hundred dollars ($12,500). For the 2018-2019 fiscal year, HSA acknowledges that they will make a twelve thousand five hundred dollars ($12,500) contribution for fiscal year 2018-19. Redwood City 2020 will invoice HSA twelve thousand five hundred dollars ($12,500) upon execution of this agreement. a. As Fiscal Agent, the City is authorized to receive money on behalf of Redwood City 2020. The money received on behalf of Redwood City 2020 shall be disbursed, as requested, by the Redwood City 2020 Executive Director in writing, subject to City administrative procedures. b. At no time shall the City be under any obligation to disburse money to Redwood City 2020 in excess of the amount on deposit. The Leadership Council acknowledges that money received by the City will not be available for disbursement for three (3) business days after the funds have been deposited by City, or for a longer period, as deemed appropriate by City's Finance Director. 6. Acts and Omissions of Executive Director. The acts and omissions of the Executive Director, or any other employees, agents, or volunteers acting on behalf of Redwood City 2020 shall not in any way be construed as the acts and omissions of the City, but shall be deemed as the acts and omissions of the Parties acting jointly.
