REV: 04-27-2022 RL AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES All Industrial Electric Supply, Inc. This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as of June 14, 2022, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and All Industrial Electric Supply, Inc., a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain General Services Agreement, dated as of June 14, 2019, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of June 14, 2020. The “Original Agreement” and “Amendment No. 1” are collectively known as the “Agreement.” C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Contractor a not-to-exceed amount of Four Hundred Sixty Seven Thousand Nine Hundred Ninety One Dollars ($467,991) for the completion of all the services described in Exhibit “A” of Amendment No. 1, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not-to-exceed amount of One Million One Hundred Forty Two Thousand Nine Hundred Thirteen Dollars ($1,142,913). 2. Unless terminated earlier, the term of this Amendment No. 2 will be a period of two years from the effective date of this Amendment No. 2. Including all amendments, through Amendment No. 2, the total term of this Agreement is five years from the Effective Date of this Agreement. 3. Contractor will complete all work described in Exhibit “A” to Amendment No. 1 by June 13, 2024, provided that the City may grant extensions consistent with the extension provisions set forth in the Agreement. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 2.
