City's facilities. <br />8. The City shall have the option of not including work on its facilities within <br />the County's contract. If the City elects to exercise said option to exclude the proposed <br />work within the City's limits, then the City shall notify the County in writing, within ten <br />(10) working days from notification by the County of the estimated cost to the City based <br />on bid prices of the successful bidder, and the County may perform only the proposed <br />work within the County limits and will provide acceptable conforms between the City and <br />the County limits. <br />9. The City and County shall inspect work performed by the County's <br />Contractor and, upon agreement that work has been satisfactorily completed by the <br />County's Contractor on the City's behalf, as specified under this Agreement, the County <br />and the City shall accept the work and the total cost incurred by the County for <br />administration and construction of the City's facilities, as described herein, shall be <br />determined and billed to the City. Payment from the City shall be due within thirty (30) <br />days of the invoice date. <br />10. It is understood the City and the County agree that upon completion, <br />elimination, or abandonment of the work specified under this Agreement and <br />acceptance thereof by the City and the County, that the City shall continue to have all <br />ownership and maintenance responsibilities for the roadway improvements constructed <br />hereto under this Agreement located in the City's limits. <br />11. The County shall only accept the work accomplished within the limits of <br />the City on City's facilities after receiving written approval from the City's representative. <br />The City's disapproval of County work shall only be for non-conformance with the <br />County's adopted project plans and specifications for the County's contract. Said <br />approval or disapproval, if any, by the City shall be provided within ten (10) calendar <br />days of the County's request for same so as to not cause the County to sustain any <br />claims from the Contractor for delays. It is assumed that the work described herein is <br />approved by the City if no response is received within the said ten (10) calendar days. <br />12. To the full extent permitted by law, the City shall defend, indemnify and <br />hold harmless the County, its officers, agents and employees from all claims, damages, <br />suits, or actions of every name, kind, and description, arising out of or relating to the <br />matters covered by this Agreement to the extent that such claims, damages, suits or <br />actions are due to the negligence or willful misconduct of the City or the City's failure to <br />perform obligations required of the City under this Agreement. <br />Page 3 of 7 <br />REV: 05-13-19 PR <br />ATTY/AGR.2019.123/San Mateo County <br />
