6.B.- Page 7of12 <br />volunteers as additional insureds, and to state that the insurance will be <br />primary and not contribute with any insurance or self-insurance <br />maintained by the Authority. <br />10. 1.2 Workers' Compensation Insurance. City shall maintain coverage as <br />required by the California Labor Code. The Workers' Compensation policy <br />shall contain an endorsement stating that the insurer waives any right to <br />subrogation against Authority, its officers, agents, employees and <br />volunteers. <br />10.1.3 Employer's Liability Insurance. City shall maintain coverage with <br />limits not less than $1,000,000 per each accident for bodily injury or <br />disease. <br />10.1.4 Professional Liability Insurance. City shall maintain coverage with <br />limits not less than $1,000,000 per occurrence. Professional Liability may <br />be written as claims -made coverage. <br />10.2. Notice of Cancellation. This insurance will be in force during the life of the <br />Agreement and any extensions of it and will not be canceled without City <br />providing thirty (30) days prior written notice to Authority sent pursuant to the <br />Notice provisions of this Agreement. <br />11. Maintenance of Records. City will maintain complete and accurate records with <br />respect to costs incurred under this Agreement. All records will be clearly identifiable. <br />City will allow a representative of Authority during normal business hours to examine, <br />audit, and make transcripts or copies of records and any other documents created <br />pursuant to this Agreement. City will allow inspection of all work, data, documents, <br />proceedings, and activities related to the Agreement for a period of three (3) years from <br />the date of final payment under this Agreement. <br />12. Ownership of Documents. Any reports and other material prepared by or on <br />behalf of City under this Agreement (collectively, the "Documents") shall be and remain <br />the property of City. Authority may request copies of such Documents, and to the <br />extent City agrees to provide copies of such Documents, they may be used by Authority <br />and its agents, employees, representatives, and assigns, in whole or in part, or in <br />modified form, for all purposes Authority may deem appropriate without further <br />employment of or payment of any compensation to City. <br />13. Notices. The name of the persons who are authorized to give written notices or <br />to receive written notice on behalf of Authority and on behalf of City under this <br />Agreement. <br />REV: 05-15-19 DZ Page 4 of 9 <br />53 <br />
