6.E. - Page 5 of 9 <br />AMENDMENT NO.2 TO EXTEND AND AMEND AGREEMENT FOR PROFESSIONAL <br />SERVICES <br />(David J. Powers & Associates) <br />This Amendment No. is entered into and effective as of the day of <br />200_, amending the agreement dated January 16, 2015 (the <br />"Agreement") by and between the City of Redwood City, a charter city and municipal <br />corporation ("City"), and David J. Powers & Associates, ("Consultant") (collectively, the <br />"Parties") for on-call environmental review services, specifically for the project at 557 <br />East Bayshore Road. <br />RECITALS <br />A. On January 16, 2015, the Parties executed an Agreement for Professional <br />Services; and <br />B. On October 16, 2018, the Parties executed Amendment No. 1 to the <br />Agreement for Professional Services ("Amendment No. 1"; the Original Agreement and <br />Amendment No. 1 are collectively referred to herein as the "Agreement"); and <br />C. The Parties have negotiated and agreed to a supplemental scope of work <br />and fee schedule for the project at 557 East Bayshore Road, which is attached to and <br />incorporated by this reference as Exhibit "A," Scope of Services and Fee. The original <br />scope and work for this project was initiated as a task order under this agreement. <br />Therefore, the amendment being requested to the professional services agreement is <br />for the remainder of negotiated and agreed work for the preparation of an <br />Environmental Impact Report as part of the project at 557 East Bayshore Road. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Consultant will provide those services described in <br />Exhibit "A." <br />2. City will pay Consultant for all work associated with those services <br />described in Exhibit "A"ONE HUNDRED ELEVEN THOUSAND SEVEN HUNDRED <br />AND FORTY Dollars ($111,740), for an aggregate amount of FIVE HUNDRED ELEVEN <br />THOUSAND SEVEN HUNDRED AND FORTY Dollars ($511,740). Consultant will <br />provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours <br />performed, hourly rates, and related activities and costs for approval by City. <br />3. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br />Page 1 of 5 <br />.
