REV: 10-03-23 EI <br />AMENDMENT NO. 2 TO AGREEMENT FOR PROFESSIONAL SERVICES <br /> (Maze & Associates Accounting Corporation) <br />This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as <br />of October 2023, by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California (“City”), and Maze & Associates Accounting <br />Corporation, a California Corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Professional <br />Services, dated as of June 24, 2019 (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”) dated as of October 12, 2022, (the “Original Agreement” <br />and “Amendment No.1” are collectively known as the “Agreement”). <br />C. While the Agreement expired on June 23, 2023, the Parties continued to <br />work together to ensure continuation of service delivery. The Parties now wish to renew <br />implementation of the Agreement as amended by this Amendment No. 2, and authorize <br />the payment to Consultant for services rendered for the period from June 24, 2023 to the <br />effective date of this Amendment No. 2. <br />D. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit <br />“A” and Exhibit “B”, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a not-to-exceed amount of One Hundred Thirty <br />Seven Thousand Three Hundred Sixty-Five Dollars ($137,365) per the fee schedule in <br />Exhibit “B” for the completion of all the services described in Exhibit “A”, which sum will <br />include all costs or expenses incurred by Consultant. Including all amendments through <br />Amendment No. 2, the total amount payable under the Agreement will be a not-to-exceed <br />amount of Six Hundred Forty-Three Thousand Three Hundred Ninety-One Dollars <br />($643,391). <br />3. Unless terminated earlier, the term of this Amendment No. 2 will be from <br />June 24, 2023 to June 23, 2024. Including all amendments, through Amendment No. 2, <br />the total term of this Agreement is five (5) years from the Effective Date of this Agreement. <br />4.
