REV: 05-08-24 LF <br />AMENDMENT NO. 3 TO AGREEMENT FOR PROFESSIONAL SERVICES <br /> (Maze & Associates Accounting Corporation) <br />This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as <br />of June 24, 2024, by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California (“City”), and Maze & Associates Accounting <br />Corporation, a California corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Professional <br />Services, dated as of June 24, 2019 (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of October 12, 2022, and Amendment No. 2 <br />to the Original Agreement (“Amendment No. 2”), dated as of November 4, 2023, (the <br />“Original Agreement” and “Amendments No. 1 and 2” are collectively known as the <br />“Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a not-to-exceed amount of One Hundred Seventy <br />One Thousand Six Hundred Dollars ($171,600) for the completion of all the services <br />described in Exhibit “A”, which sum will include all costs or expenses incurred by <br />Consultant. Including all amendments through Amendment No. 3, the total amount <br />payable under the Agreement will be a not-to-exceed amount of Eight Hundred Fourteen <br />Thousand Nine Hundred Ninety-one Dollars ($814,991). <br />3. Unless terminated earlier, the term of this Amendment No. 3 will be from <br />June 24, 2024, to June 23, 2025. Including all amendments, through Amendment No.3, <br />the total term of this Agreement is six (6) years from the Effective Date of this Agreement. <br />4. Consultant will complete all work described in Exhibit “A” by March 31, <br />2025, for the fiscal year ending June 30, 2024.
