f. By unanimous agreement of Equity Members, Equity Members may dispose <br />of, divide, distribute, or return assets on a basis different from that established <br />in this Section 16.1. <br />ARTICLE 17. AM-ENOMENTS <br />17.1 Amendment Requirements. Subject to all legal obligations of the SBWMA, this <br />Agreement may be amended by one or more supplemental agreements executed by a vote of two <br />thirds (213) of all Equity and Non -Equity Members of the SBWMA. <br />17.2 Signature Requirements. Signatures shall not be required on any effective <br />amendment by those Members, if any, whose Directors did not approve the amendment; <br />however, such Members shall nonetheless be bound by the amendment as if it were approved by <br />all Members. <br />ARTICLE 18. FILINGS <br />18.1 Filing with Secretary of State. The Chair shall cause to be filed all required <br />notices with the California Secretary of State, in accordance with California Government Codes <br />§6503.5 and 53051. <br />ARTICLE 19. NOTICES <br />19.1 Notices to Agencies. All notices to the Agencies shall be deemed to have been <br />given to the Agencies when mailed, postage prepaid by United States mail, or when hand <br />delivered to the governing body of each Agency during usual business hours at the principal <br />office, or to the person apparently in charge of that office. <br />19.2 Notices to SBWMA. All notices to the SBWMA shall be deemed to have been <br />given to the SBWMA when mailed, postage prepaid by United States mail, or when hand <br />delivered to each of the Chair, Vice Chair, and Finance Director of the SBWMA during usual <br />business hours at the principal office, or to the Person apparently in charge of that office. <br />ARTICLE 20. SUCCESSORS AND ASSIGNMENTS <br />20.1 Assignments. This Agreement shall be binding upon and shall inure to the benefit <br />of the successors of any Member. No Member may assign any right or obligation hereunder <br />without the written consent of all other Members. <br />ARTICLE 21. SEVERABILITY <br />21.1 Severability. if any provision of this Agreement or its application to any Person <br />or circumstances is held invalid or illegal by a final judgment of a court of law in the State of <br />California, the remainder of this Agreement and the application of the provision to other Persons <br />or circumstances shall not be affected. <br />ARTICLE 22. ARTICLE HEADINGS <br />22.1 Headings. All section headings contained in this Agreement are for convenience <br />and reference only, They are not intended to define or limit the scope of any provision of this <br />Agreement. <br />Page 12 of 23 <br />
