ORIGINAL <br />AGREEMENT FOR VEHICLE MAINTENCE SERVICES <br />THIS AGREEMENT is entered into as of the 1st day of July, 2019, by and between the <br />TOWN OF ATHERTON, herein called "Town," and CITY OF REDWOOD CITY, herein called <br />lty. <br />11 <br />RECITALS <br />WHEREAS, Town desires to obtain maintenance services necessary to perform the <br />routine periodic maintenance for Atherton motor vehicles in accordance with standard motor <br />vehicle maintenance schedules for the manufacture or type of such vehicles; and <br />WHEREAS, Motor vehicles includes automobiles, pickup trucks, heavy duty trucks and <br />similar such vehicles owned by the Town of Atherton for municipal purposes; and <br />WHEREAS, City operates and maintains a motor vehicle maintenance facility and is <br />willing to provide vehicle maintenance services to Town, subject to the terms and conditions <br />provided in this Agreement. <br />AGREEMENT <br />NOW, THEREFORE, in consideration of their mutual covenants, the parties agree as <br />follows: <br />1. Incomoration of Recitals. The recitals set forth above, and all defined terms set <br />forth in such recitals and in the introductory paragraph preceding the recitals, are hereby <br />incorporated into this Agreement as if fully set forth herein. <br />2. Term. This Agreement shall commence upon its execution and shall continue in <br />full force and effect until June 30, 2020, unless terminated as provided herein. <br />3. City's Services. City shall provide maintenance services for Town's motor <br />vehicles on an as needed basis, as set forth in Exhibit A-1, attached hereto and incorporated <br />herein by reference ("Services"). <br />4. Town's Services. In consideration of City's Services and compensation to be <br />provided to City, Town shall perform the services set forth in Exhibit A-2, attached hereto and <br />incorporated herein by reference. <br />Services provided to Town listed on Exhibit A-2 include the right to store property on City <br />premises, the risk of loss or damage to the property shall be borne entirely by City. <br />5. City's Books and Records.
