ORGNAL AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (AILA MALIK DBA Venture Leadership Consulting) This Amendment No. 1 is entered into and effective as of October 1, 2019, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and AILA MALIK DBA Venture Leadership Consulting, a sole proprietorship ("Consultant') (collectively, the `Parties"). RECITALS A. The Parties previously executed that certain Agreement for Professional Services, dated as of July 3, 2019, (the "Original Agreement'). B. The Parties have negotiated and agreed to an extension on the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not -to -exceed amount of Seventy Two Thousand Dollars ($72,000.00) for the completion of all the services described in Exhibit "A", which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not - to -exceed amount of One Hundred Eight Thousand Dollars ($108,000.00). 2. Unless terminated earlier, the term of this Agreement will be a period of six (6) months from the Effective Date. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 5. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment.
