<br />In consideration of the above referenced recitals and the following mutual covenants, <br />commitments and obligations, the Parties agree, as follows: <br /> <br />CONSENT AGREEMENT PROVISIONS <br /> <br />1. Based on a written request received by the City from Verde Design on June 7, 2007, <br />City hereby consents to the assignment of the Original Agreements and all of the rights, duties, <br />obligations and interest set forth therein accruing on or after July 1, 2007 from Beals Alliance to <br />Verde Design. The assignment shall be effective July 1, 2007. This consent is based on <br />representations made by Verde Design and Beals Alliance, and all the duties and obligations of <br />Beals Alliance to perform specified services included in the Original Agreements shall be performed <br />by Verde Design after the acquisition is complete on July 1,2007. This Consent is effective as of <br />July 1, 2007. <br /> <br />2. City acknowledges and relies on this acceptance by Verde Design of all of the rights, <br />obligations and interest in the Original Agreements accruing on or after July 1, 2007 and the <br />relinquishment of all such the rights, obligations and interest in the Original Agreements accruing <br />on or after July 1,2007 by Beals Alliance. Verde Design agrees to undertake any and all action(s) <br />necessary to meet the terms and conditions of the Original Agreements accruing on or after July 1, <br />2007 as referred to in this Consent Agreement. <br /> <br />3. Payments for services rendered on the Original Agreements prior to July 1, 2007 <br />should continue to be made payable to Beals Alliance. Payments for services rendered on or after <br />July 1,2007 should be made payable to Verde Design, Inc. <br /> <br />4. Upon execution of this Consent Agreement (to be effective July 1,2007), any debts or <br />obligations due to City that arise or accrue from the terms and conditions of the Original <br />Agreements on or after July 1, 2007 shall become payable by Verde Design to the City or its <br />agents, or assigns. Any debts and obligations due to the City that arise or accrue from the terms <br />and conditions of the Original Agreements prior to July 1, 2007 shall remain payable by Beals <br />Alliance to the City or its agents, or assigns. The City agrees to accept performance of all <br />obligations accruing under the Original Agreements on or after July 1, 2007 from Verde and agrees <br />to release Beals Alliance from any liability accruing on or after July 1, 2007. Derek McKee will <br />continue as principal in charge of the projects. This assignment shall not change Beals Alliance's <br />responsibility for its services provided prior to July 1, 2007. <br /> <br />5. This Consent Agreement embodies the entire agreement between City, Verde <br />Design and Beals Alliance and all of its terms and conditions as they relate to the City's consent to <br />assignment of the Original Agreements. No verbal agreements or conversation with any officer, <br />agent or employee of City prior to execution of this Consent Agreement shall affect or modify any of <br />the terms or obligations contained in this Consent Agreement. Any such verbal agreement shall be <br />considered as unofficial information and in no way binding upon City. <br /> <br />6. As a condition of the terms of this Consent Agreement, Verde Design shall provide <br />the City with the following: <br /> <br />a. revised Certificate of Insurance, as well as all policy endorsements to indicate <br />that Verde Design has purchased, and is maintaining, all of the required insurance policies and has <br /> <br />ATTY/AGR/2007.035 <br />081607 <br /> <br />Page 2 on <br />
