AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br />(Quality Assurance Engineering, Inc. dba Consolidated Engineering <br />Laboratories) <br />This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as <br />of Mar8,2021 , 2021, by and between the City of Redwood City, a charter <br />city and municipal corporation of the State of California ("City"), and Quality Assurance <br />Engineering, Inc., a California corporation, dba Consolidated Engineering Laboratories <br />("Consultant") (collectively, the "Parties"). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Professional <br />Services with Consultant for geotechnical inspections, other special inspections, and <br />material testing services on an on-call, as needed basis dated as of July 3, 2019 (the <br />"Original Agreement"). The "Original Agreement" and "Amendment No. 1" are collectively <br />known as the "Agreement." <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, namely for on-call services described in Exhibit A of the <br />Original Agreement that would exceed the dollar amount as set forth therein. <br />C. The Parties desire to revise Section 3 of the Original Agreement to eliminate <br />language that permits extensions for additional periods in an amount not to exceed Three <br />Thousand Five Hundred Dollars ($3,500) per year. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not -to -exceed amount of Forty Thousand Dollars <br />($40,000.00) for the completion of all the services described in Exhibit "A" of the Original <br />Agreement, which sum will include all costs or expenses incurred by Consultant. <br />Including Amendment No. 1, the total amount payable under the Agreement will be a not - <br />to -exceed amount of Seventy -Five Thousand Dollars ($75,000.00). <br />2. Unless terminated earlier, the term of this Amendment No. 1 will be a period <br />of two (2) years from its effective date. Including the Original Agreement and Amendment <br />No. 1, the total term is four (4) years from the effective date of the Original Agreement. <br />3. Section 3 of the Original Agreement is revised to read as follows: <br />3. Term. Unless earlier terminated, the term of this Agreement will be <br />effective for a period of two (2) years from the date first above written. Extensions <br />will be based upon a satisfactory review of Consultant's performance, City needs, <br />and appropriation of funds by the City.
