AMENDMENT NO. 1 TO AGREEMENT FOR PROFESSIONAL SERVICES (Smith -Emery of San Francisco, Inc.) This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as of May11,2021 , 2021 (the "Effective Date") by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Smith -Emery of San Francisco, Inc., a California corporation ("Consultant") (collectively, the "Parties"). RECITALS A. The Parties previously executed that certain Agreement for Professional Services with Consultant for geotechnical inspections, other special inspections and materials testing services on an on-call, as -needed basis dated as of July 5, 2019 (the "Agreement"). B. The term of the Agreement is two years, and the Parties now wish to extend the Agreement by one year, for a total period of three years, and to eliminate language in the Agreement referencing extensions in the amount of $4,447 per year. C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit "A", and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not -to -exceed amount of Fifty -Five Thousand Dollars ($55,000.00) for the completion of all the services described in Exhibit "A", which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not - to -exceed amount of Ninety -Nine Thousand Seven -Hundred and Nine Dollars ($99,709.00). 3. Section 3 of the Original Agreement is revised to read as follows: 3. Term: Unless earlier terminated, the term of this Agreement will be effective for a period of three (3) years from the date first above written. Extensions will be based upon a satisfactory review of Consultant's performance, City needs, and appropriation of funds by the City.
