ORIGINAL <br />AGREEMENT FOR PROFESSIONAL SERVICES <br />(Financial and Accounting Services for SBWMA) <br />TNI$ AGREEMENT is made and entered into as of the *k day of <br />W 2019, by and between the CITY OF REDWOOD CITY, a charter <br />city and munii6ipal corporation of the State of California ("City"), and SOUTH BAYSIDE <br />WASTE MANAGEMENT AUTHORITY, a joint powers authority in San Mateo County <br />("Authority") (collectively referred to as the "Parties" or individually as a "Party"). <br />RECITALS <br />A. Authority requires financial and accounting services of City's Finance <br />division. <br />B. City has the necessary experience and staff available to provide these <br />services. <br />C. This contractual agreement is intended to achieve an effective and <br />efficient delivery of service to the benefit of both Parties. <br />D. City has submitted a proposal to Authority and has affirmed its willingness <br />and ability to perform such work. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Scope of Work. Authority retains City to perform, and City agrees to render, <br />those services (the "Services") that are defined in attached Exhibit "A," which is <br />incorporated herein by reference. In the event of a conflict between the provisions of <br />Exhibit "A" and the terms of this Agreement, the terms of this Agreement shall prevail. <br />2. Standard of Performance. While performing the Services, City will exercise <br />reasonable professional care and will use reasonable diligence and best judgment while <br />exercising its professional skill and expertise. <br />3. Term. Unless earlier terminated, the term of this Agreement will commence upon <br />the date first above written and shall expire on June 30, 2022. The City and Authority <br />may amend the Agreement to extend it for two (2) additional periods of one (1) year in <br />an amount not to exceed One Hundred Forty -Six Thousand Two Hundred Fifty -Nine <br />Dollars ($146,259) for FY 2022-23 and One Hundred Fifty Thousand One Hundred <br />Thirty -Seven Dollars ($150,137) for FY 2023-24. A one-time additional fee of Four <br />Thousand Four Hundred Thirty Dollars ($4,430) will be charged to the Authority if there <br />is a change from fiscal year to calendar year. Extensions will be based upon a <br />satisfactory review of City's performance, City's ability to continue to provide services, <br />Authority's needs, and appropriation of funds by the Authority. The Parties will prepare a <br />written amendment indicating the effective date and length of the extended Agreement. <br />REV: 05-15-19 DZ Page 1 of 9 <br />
