REV: 08-25-2022 RL AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (Financial and Accounting Services for SBWMA) This Amendment No. 1 (“Amendment No. 1”) is entered into and effective as of __________________, 2022, (“Effective Date”) by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and South Bayside Waste Management Authority, a joint powers authority in San Mateo County (“Authority”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Professional Services with Authority, dated as of July 3, 2019, (the “Agreement”). B. While the Agreement expired on June 30, 2022, the Parties continued to work together to ensure continuation of service delivery. The Parties now wish this Amendment No. 1 to apply to the period between June 30, 2022 and the Effective Date of this Amendment No. 1, and authorize the payment to City for services rendered for the period from July 1, 2022 to the Effective Date of this Agreement. C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 2. Authority will pay City a not-to-exceed amount of One Hundred Thirty Thousand Seven Hundred Fifty-Nine Dollars ($130,759.00) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by City. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Five Hundred Sixty-One Thousand Seven Hundred Eighty-One Dollars ($561,781.00). 3. Unless terminated earlier, the term of this Amendment No. 1 will be a period of one year from the effective date of this Amendment No. 1. Including all amendments, through Amendment No.1, the total term of this Agreement is approximately three (3) years from the Effective Date of this Agreement. 4.
