REV: 07-05-22 RL AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES Public Relations Services for Silicon Valley Clean Water This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as of ___________________, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and SILICON VALLEY CLEAN WATER, a joint powers authority (“Authority”) (collectively referred to as the “Parties” or individually as a “Party”). RECITALS A. The Parties previously executed that certain Agreement for Professional Services, dated as of July 5, 2019, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of June 1, 2022 (the Original Agreement and Amendment No. 1 are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 2. Unless terminated earlier, the term of this Amendment No. 2 will commence on the effective date of this Amendment No. 2 and shall expire on June 30, 2025. Including all amendments, through Amendment No. 2, the total term of this Agreement is approximately six years from the Effective Date of this Agreement. The Authority and City Manager may amend and/or extend the Agreement for up to three additional one- year terms. Extensions will be based upon a satisfactory review of City's performance, City’s ability to continue to provide services, Authority’s needs, and appropriation of funds by the Authority. The Parties will prepare a written amendment indicating the effective date and length of the extended Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by City pursuant to the Agreement will include coverage for this Amendment No. 2. 5. The individuals executing this Amendment No. 2 and the instruments referenced in it on behalf of the Parties each represent and warrant that they have the ATTY/AGR.2022/Amend. No. 2/City of Redwood City (Public Relations Services for SVCW) (Page 1 of 6) July 28, 2022
