be increased at the beginning of each extension year by three percent (3%) per annum. <br />Reimbursement of costs and expenses outside of services listed in Section 1 shall be <br />approved in writing and in advance of incurring such costs and expenses by the Port's <br />Executive Director. <br />Compensation and reimbursement of costs and expenses hereunder shall be payable <br />upon monthly billing therefor by City to Port, which billing shall include an itemized statement, <br />specifying the amount of time spent, briefly describing by task and labor category or <br />cost/expense items billed. Documentation in the form of invoices or receipts for costs and <br />expenses shall be included with the itemized statement. <br />Notwithstanding anything to the contrary in this Agreement, the amount payable to <br />the City for any single year (including services and costs for additional services and special <br />projects pursuant to Paragraph 3 below) shall not exceed One Hundred Thousand and <br />No/ 100 Dollars ($100,000). <br />3. ADDITIONAL SERVICES AND SPECIAL PROJECTS. In the event Port desires the <br />performance of additional services or special projects not otherwise included within the <br />services described in Section 1 (such as contract graphic design work) or in excess of 30 <br />hours per month, such services shall be authorized by written task order approved in <br />advance of the performance thereof by the Port Executive Director. Such task order shall <br />include a description of the services to be performed thereunder, the maximum <br />compensation and reimbursement of costs and expenses payable therefore, the time of <br />performance thereof, and such other matters as the parties deem appropriate for the <br />accomplishment of such services. Except to the extent modified by a task order, all other <br />terms and conditions of this MOU shall be deemed incorporated in each such task order. <br />4. ASSIGNABILITY. Neither City nor Port shall subcontract, assign, sell, mortgage, <br />hypothecate, or otherwise transfer their respective interests or obligations in this MOU <br />without the express prior written consent of the non -transferring party. <br />ATTY/AGR/2019.042/PORT OF REDWOOD CITY <br />REV: 03-08-19 PR <br />Page 2 of 6 <br />
