6.E. - Page 4 of 16 <br />AMENDMENT NO. 3 TO AMEND AND EXTEND AGREEMENT FOR <br />PROFESSIONAL SERVICES <br />AECOM <br />This Amendment No. 3 is entered into and effective as of the day of <br />2019, amending and extending the agreement dated <br />August 21, 2017, by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California ("City"), and AECOM Technical Services, Inc. <br />("Consultant") (collectively, the "Parties") for the 101/84 (Woodside Road) Interchange <br />Project Plans, Specifications and Estimate (PS&E) and Right of Way Support (R/W <br />Support) phase. <br />RECITALS <br />A. On August 21, 2017, the Parties executed an Agreement for Professional <br />Services for the 101/84 (Woodside Road) Interchange Project Plans, Specifications and <br />Estimate (PS&E) and Right of Way Support (R/W Support) phase (the "Original <br />Agreement"); and <br />B. When the City Council approved the Original Agreement, the Council also <br />authorized the City Manager to increase the Original Agreement amount up to 10% of <br />the Original Agreement amount if necessary (Minute Order 17-148); and <br />C. On April 8, 2019, the Parties executed Amendment No. 1 to the <br />Agreement for Professional Services in the amount not to exceed $73,954, to an <br />aggregate Agreement value not to exceed $7,261,509 ("Amendment No. 1 "); and <br />D. On June , 2019 (pending) the Parties executed Amendment No. 2 to the <br />Agreement for Professional Services in the amount not to exceed $644,800, to an <br />aggregate Agreement value not to exceed $7,906,309, which equals 110% of the <br />Original Agreement value ("Amendment No. 2"; the Original Agreement, Amendment <br />No. 1 and Amendment No. 2 are collectively referred to herein as the "Agreement"); and <br />E. The Parties have negotiated and agreed to additional scope of work and <br />compensation, which are attached to and incorporated by reference as Exhibit "A," <br />Scope of Services and Exhibit "B," Compensation. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. In addition to those services contained in the Agreement Consultant will <br />provide those services described in Exhibit "A." With this Amendment, the total <br />Agreement amount shall not exceed Eight Million Four Hundred Eleven Thousand <br />Seventy dollars ($8,411,070). <br />2. City will pay Consultant for all work associated with those services <br />described in Exhibit "A" on a time and materials basis not -to -exceed Five Hundred Four <br />Thousand Seven Hundred Sixty -One Dollars ($504,761), for an aggregate amount of <br />($8,411,070).
