APUBLlC ~.t.~ALLIES 6.10 Page 3 Ne'W Leadership for New Times AGREEMENT This agreement ("Agreement") is made and entered into as of the 29th of August, 2007, by and between the following entities (sometimes referred to as "Party" or "Parties"): Bay Area Community Resources ("Public Allies Silicon Valley"), a California nonprofit corporation contracted by Public Allies, Inc. to operate the Public Allies Silicon Valley site, and incorporated under the laws of California with its principal place of business at 171 Carlos Drive, San Rafael, CA 94903; and City of Redwood City/Fair Oaks Community Center ("Partner Organization"), a not for profit corporation, with its principal place of business at 2600 Middlefleld Road. Redwood Citv. CA 94063. WITNESSETH WHEREAS, Public Allies, Inc. has established the Public Allies Apprenticeship Program ("Program"), the purpose of which is to recruit and select young people (collectively, the "Allies"; individually, an "Ally") for training and placement in public interest groups, community-based organizations, government agencies and other organizations working for social change; and WHEREAS, Partner Organization has indicated that It (a) is an organization having service in the public interest as its mission; (b) Is committed to diversity, staff development and thoughtful management; (c) has a clearly defined and compensated AmeriCorps service position ("Position") suitable for a prospective Ally, expected to have an approximate duration of ten months from September 4, 2007 through June 30, 2008 following commencement of service (such months constituting the "Term"); (d) will provide a crose formal relationship pursuant to which Public Allies Silicon Valley will furnish to Partner Organization, and Partner Organization will accept, one or more qualified Allies for full-time AmeriCorps placement by Partner Organization in a Position; (e) has read and understands Partner Organization section of the Public Allies Policies and Procedures Manual; and (1) understands its obligation under the Corporation for National and Community Service Grant to Public Allies Silicon Valley; NOW, THEREFORE, in consideration of the foregoing and of the recitals, representations and warranties set forth below and upon the terms and conditionsocontained in this Agreement, the Parties hereto agree as forrows:
