<br />8. If City elects to exclude said work on its facilities from the County contract, the <br /> <br />work shall be performed by City forces or its designated Contractor in a manner that shall not <br /> <br />cause time delay or financial hardship to the County. Should City fail to complete all work on its <br /> <br />facilities, as stipulated by the County, the County shall cause said facility work to be completed <br /> <br />and all costs incurred by the County to be reimbursed. <br /> <br />9. The City and County shall inspect work performed by the County's Contractor <br /> <br />and upon agreement that work has been satisfactorily completed by County's Contractor on the <br /> <br />City's behalf as specified under this Agreement, County and City shall accept work, and the total <br /> <br />cost incurred by County for administration and construction of City's facilities, as described <br /> <br />herein, shall be determined, and billed to City. Payment from City shall be due within thirty (30) <br /> <br />days of the invoice date. <br /> <br />10. It is understood and City agrees that upon completion of the work contemplated <br /> <br />by this Agreement, City shall continue to have all ownership and maintenance responsibilities <br /> <br />over the City-owned facilities within the project. <br /> <br />11. To the full extent permitted by law, City shall defend, indemnify and hold <br /> <br />harmless the County, its officers, agents and employees from all claims, damages, suits, or <br /> <br />actions of every name, kind, and description, arising out of or relating to the matters covered by <br /> <br />this Agreement to the extent that such claims, damages, suits or actions are due to the negligence <br /> <br />or reckless acts or omissions or willful misconduct of the City or the City's failure to perform <br /> <br />obligations required of City under this Agreement. <br /> <br />Likewise, to the full extent permitted by law, County shall defend, indemnify and <br /> <br />hold City harmless from all claims, suits or actions of every name, kind, and description, arising <br /> <br />out of or relating to the matters covered by this Agreement to the extent such claims, suits or <br /> <br />Page 4 of5 <br />
