REV: 08-16-2021 RL <br />AMENDMENT NO. 3 <br />TO AGREEMENT FOR SERVICES <br /> (Downtown Streets, Inc.) <br />This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as <br />of ,2021, by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California (“City”), and Downtown Streets, Inc., a California <br />public benefit non-profit corporation (“Contractor”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain General Services Agreement <br />with Downtown Streets Team, Inc., dated as of August 1, 2019, (the “Original <br />Agreement”). <br />B. The Parties previously executed Amendment No.1 to the Original <br />Agreement (“Amendment No. 1”), dated as of October 29, 2019. <br />C. The Parties previously executed Amendment No. 2 to the Original <br />Agreement (“Amendment No. 2”), dated as of August 1, 2021 (the Original Agreement <br />and Amendments No. 1 and 2 are collectively known as the “Agreement”). <br />D. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant an additional flat-rate amount of Four Hundred Forty <br />Thousand, One Hundred Forty-Four Dollars ($440,144) for the completion of all the <br />services described in Exhibit “A” of the original agreement, which sum will include all costs <br />or expenses incurred by Contractor. Including all amendments through Amendment No. <br />3, the total amount payable under the Agreement will be a not-to-exceed amount of One <br />Million One Hundred Ninety Seven Thousand Four Hundred Seventy-Two Dollars <br />($1,197,472). <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 3. <br />4. The individuals executing this Amendment No. 3 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 3. <br />ATTY/AGR.2021-Amend No. 3/Downtown Streets, Inc (Page 1 of 3) <br />August 26
