REV: 07-12-22 RL AMENDMENT NO. 4 TO AGREEMENT FOR SERVICES (Downtown Streets, Inc.) This Amendment No. 4 (the “Amendment No. 4”) is entered into and effective as of August 1, 2022 by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Downtown Streets, Inc., a California public benefit non-profit corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain General Services Agreement , dated as of August 1, 2019, , (the “Original Agreement”). B. The Parties previously executed Amendment No. 1to the Original Agreement (“Amendment No. 1”), dated as of October 29, 2019. C. The Parties previously executed Amendment No. 2 to the Original Agreement (“Amendment No. 2”), dated as of August 1, 2021. D. The Parties previously executed Amendment No. 3 to the Original Agreement (“Amendment No. 3”), dated as of August 26, 2021 (the Original Agreement and Amendments No. 1, 2, and 3 are collectively known as the “Agreement”). E. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 4, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the amended services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not-to-exceed amount of Six Hundred Thousand One Hundred Forty-Four Dollars ($600,144) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 4, the total amount payable under the Agreement will be a not-to-exceed amount of One Million Seven Hundred Ninety Seven Thousand Six Hundred and Sixteen Dollars ($1,797,616). 3. Unless terminated earlier, the term of this Amendment No. 4 will be a period of one year from the effective date of this Amendment No. 4. Including all amendments, through Amendment No. 4, the total term of this Agreement is four years from the Effective Date of this Agreement. ATTY/AGR.2022/Amend. No. 4/Downtown Streets, Inc.
