REV: 05-22-24 LF AMENDMENT NO. 6 TO AGREEMENT FOR SERVICES (Downtown Streets, Inc.) This Amendment No. 6 (the “Amendment No. 6”) is entered into and effective as of July 1, 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Downtown Streets, Inc., a California public benefit non-profit corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain General Services Agreement, dated as of August 1, 2019, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of October 29, 2019, Amendment No. 2 to the Original Agreement (“Amendment No. 2”), dated as of August 1, 2021, Amendment No. 3 to the Original Agreement (“Amendment No. 3”), dated as of August 26, 2021, Amendment No. 4 to the Original Agreement (“Amendment No. 4”), dated as of August 1, 2022, and Amendment No. 5 to the Original Agreement (“Amendment No. 4”), dated as of July 1, 2023 (the Original Agreement and Amendments No. 1, 2, 3, 4 and 5 are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 6, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Contractor will provide the services set forth in Exhibit “A” attached to this Amendment No.6, and such services will be considered part of the Services for purposes of the Agreement. Exhibit A to Amendment No. 5 is hereby deleted and replaced with Exhibit A attached to this Amendment No. 6. 2. City will pay Contractor a not-to-exceed amount of Two Hundred Ninety Thousand One Hundred Forty-Four Dollars ($290,144) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 6, the total amount payable under the Agreement will be a not-to-exceed amount of Two Million Six Hundred Thirty-Seven Thousand Seven Hundred Sixty Dollars ($2,637,760). 3. Unless terminated earlier, the term of this Amendment No. 6 will be for one year from the effective date of this Amendment No. 6. Including all amendments, through Amendment No. 6, the total term of this Agreement is five years and eleven months. ATTY/AGR.2024/Amend. No. 6/Downtown Streets, Inc.
