6.C. - Page 4 of 11 AMENDMENT NO.2 TO AMEND AGREEMENT FOR PROFESSIONAL SERVICES (SAFEbuilt, LLC) This Amendment No. 2 is entered into and effective as of the day of , 2019, amending the agreement dated March 8, 2018 by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and SAFEbuilt, LLC., a Delaware limited liability company ("Consultant") (collectively, the "Parties") for building inspection and plan review services. RECITALS A. On March 8, 2018, the Parties executed an Agreement for Professional Services ("Original Agreement"); B. On June 28, 2019, the Parties executed Amendment No. 1 to the Original Agreement ("Amendment No. 1") (the "Original Agreement" and "Amendment No. 1" are collectively known as the "Agreement"); and C. The Parties have negotiated and agreed to amend Exhibit `B," Fee Schedule. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. That the Exhibit "B" to the Agreement is hereby deleted in its entirety and replaced with the Exhibit "B" attached to this Amendment No. 2 to the Agreement, incorporated by this reference. 2. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 3. All requisite insurance policies to be maintained by the Consultant pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. 4. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment.
