408. Governing Law. This Agreement and other instruments given pursuant <br />hereto shall be construed in accordance with and be governed by the laws of the State of <br />California. Any references herein to particular statutes or regulations shall be deemed to <br />refer to successor statutes or regulations, or amendments thereto. The venue for any <br />action shall be the County of San Mateo. <br />409. Each Party's Role in Drafting the Agreement. Each Party to this <br />Agreement has had an opportunity to review the Agreement, confer with legal counsel <br />regarding the meaning of the Agreement, and negotiate revisions to the Agreement. <br />Accordingly, neither Party shall rely upon Civil Code Section 1654 in order to interpret <br />any uncertainty in the meaning of the Agreement. <br />410. Amendment. This Agreement may not be changed orally, but only by <br />agreement in writing signed by Owner and the City. <br />411. Approvals. Where an approval or submission is required under this <br />Agreement, such approval or submission shall be valid for purposes of this Agreement <br />only if made in writing. Where this Agreement requires an approval or consent of the <br />City, such approval may be given on behalf of the City by the City Manager or his or her <br />designee. The City Manager or his or her designee is hereby authorized to take such <br />actions as may be necessary or appropriate to implement this Agreement, including <br />without limitation the execution of such documents or agreements as may be <br />contemplated by this Agreement and amendments which do not substantially change the <br />uses or restrictions hereunder, or substantially add to the costs of the City hereunder. <br />IN WITNESS WHEREOF, the Parties hereto have executed this Affordable Housing <br />Agreement as of the date and year set forth above. <br />OWNER: <br />BAYFRONT INVESTMENTS, LLC, a California <br />limited liability company <br />IM <br />Scott W.
