11.4 Effect of Termination. If this Agreement is terminated pursuant to <br />this Section 11, such termination shall not affect any condition or obligation due to the <br />City from Owner and arising prior to the date of termination. <br />11.5 Recordation of Termination. In the event of a termination, the City <br />and Owner agree to cooperate with each other in executing and acknowledging a <br />Memorandum of Termination to record in the Official Records of San Mateo County <br />within thirty (30) days following the effective date of such termination. <br />12. Remedies. <br />12.1 No Damages. City and Owner acknowledge that the purpose of this <br />Agreement is to carry out the Parties' objectives as set forth in the recitals. City and <br />Owner agree that to determine a sum of money which would adequately compensate <br />either Party for choices they have made which would be foreclosed should the Property <br />not be developed as contemplated by this Agreement is not possible and that damages <br />would not be an adequate remedy. Therefore, City and Owner agree that in no event <br />shall a Party, or its boards, commissions, officers, agents, or employees, be liable in <br />damages for an Default under this Agreement. This exclusion on damages shall not <br />preclude actions by a Party to enforce payments of monies or fees due or the <br />performance of obligations requiring the expenditures of money under the terms of this <br />Agreement. <br />12.2 Remedies Cumulative. In the event of a breach of this Agreement, <br />the only remedies available to the non -breaching Party shall be: (a) suit for specific <br />performance to remedy a specific breach; (b) suits for declaratory or injunctive relief; (c) <br />suit for mandamus under Code of Civil Procedure Section 1085, or special writ; and (d) <br />termination or cancellation of this Agreement. While Owner is in Default under this <br />Agreement, City shall not be obligated to issue any permit or grant any Approval until <br />Owner cures the Default. All of these remedies shall be cumulative and not exclusive of <br />one another, and the exercise of any one or more of these remedies shall not constitute <br />a waiver or election with respect to any other available remedy. <br />12.3 Parties' Agreement. In connection with the foregoing provisions, <br />each Party acknowledges, warrants and represents that it has been fully informed with <br />respect to, and represented by counsel of such Party's choice in connection with, the <br />rights and remedies of such Party hereunder and the waivers herein contained, and <br />after such advice and consultation has presently and actually intended, with full <br />knowledge of such Party's rights and remedies otherwise available at law or in equity, to <br />waive and relinquish such rights and remedies to the extent specified herein, and to rely <br />to the extent herein specified solely on the remedies provided for herein with respect to <br />any breach of this Agreement by the other Party. The provisions of this Section 12 shall <br />survive and remain in effect following the expiration of the Term or termination or <br />cancellation of this Agreement. <br />16 <br />1677\05\1960134.9 <br />1/17/2017 <br />PAGE 276 <br />
