Each Party to this Agreement has had an opportunity to review the Agreement, confer with legal <br />counsel regarding the meaning of the Agreement, and negotiate revisions to the Agreement. Accordingly, <br />neither Party shall rely upon Civil Code Section 1654 in order to interpret any uncertainty in the meaning <br />of the Agreement. <br />8.8 Intended Beneficiaries. <br />The City is the intended beneficiary of this Agreement, and shall have the sole and exclusive <br />power to enforce this Agreement. It is intended that the City may enforce this Agreement in order to <br />qualify the Project for the Public Benefit Bonus, and to implement the provisions of the Development <br />Agreement. No other person or persons, other than the City and the Owner and their assigns and <br />successors, shall have any right of action hereon. <br />8.9 Recordation of Termination. <br />Upon termination of this Agreement, a written statement acknowledging such termination shall <br />be executed by Owner and City and shall be recorded by City in the Official Records of San Mateo <br />County, California. <br />8.10 Signature Pages: Execution in Counterparts. <br />For convenience, the signatures of the Parties to this Agreement may be executed and <br />acknowledged on separate pages in counterparts which, when attached to this Agreement, shall constitute <br />this as one complete Agreement. <br />1677W5\2007512.3 <br />12/5(2016 PAGE 306 <br />
