ORIGINAL <br />PILOT PROJECT AGREEMENT AND LICENSE <br />FOR INTERNET -CONNECTED RECREATIONAL EQUIPMENT LOCKERS <br />(Equipped Systems, Inc.) <br />THIS AGREEMENT for a pilot project to install internet-connected recreational <br />equipment lockers in Redwood City parks ("Agreement') is made and entered into as of <br />the 2 _Z, day of te•,Ae mVnPr , 2019, by and between the CITY OF <br />REDWOOD CITY, a charter city and municipal corporation of the State of California <br />("City"), and Equipped Systems, Inc., a Delaware corpuistion ("Vendor"). <br />RECITALS <br />A. Vendor is developing an internet-connected equipment locker system to <br />store and lend recreational items designed to be accessible with a mobile application. <br />B. Through a six (6) month pilot project between City and Vendor, City will <br />provide the necessary space and direction to bolt down and install lockers in two <br />identified City parks, at no cost to the City. <br />C. Vendor warrants to the City that it has the qualifications, experience, <br />software, and facilities to properly and timely perform the services under this <br />Agreement. <br />D. The City desires to contract with Vendor to perform the Scope of Services <br />as defined herein and as described in Exhibit "A" of this Agreement. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Definitions. <br />1.1 "Lockers" means the two (2) lockers stocked with Equipment that is made <br />available by Vendor to City to be installed on Premises. <br />1.2 "Equipment' means recreational items mutually agreed upon between City <br />and Vendor to be made available to users of the Premises for short-term, <br />recreational purposes through the Lockers and/or Mobile Application, such as <br />frisbees, soccer balls, footballs, kites, and other items. <br />1.3 "Mobile Application" means the mobile -based software application that <br />users will need to agree to in order to access the Equipment in the Lockers. <br />1.4 "Premises' means the locations on City property mutually agreed upon <br />between City and Vendor for the installation of the Lockers, including but not <br />limited to locations at Red Morton Park and Mezes Park. <br />1.5 "Technology" is defined in Section 10 (Intellectual Property) <br />REV: 09-13-19 DZ <br />AM/AGR.2019.245/Equipped Systems Inc.
