20. Conflict of Interest. If disclosure under the Politicai Reform Act and City's Conflict of Interest Code is required of Vendor or a,.y of Vendor's employees, agents, or subcontractors, Vendor or Vendor's affected employees, agents, or subcontractors shall complete and file with the City Clerk those schedules specified by City and contained in the Statement of Economic Interests Form 700. Vendor, for Vendor and on behalf of Vendor's agents, employees, subcontractors and Vendors warrants that by execution of this Agreement, that they have no interest, present or contemplated, in the projects affected by this Agreement. Vendor further warrants that neither Vendor, nor Vendor's agents, employees, subcontractors and Vendors have any ancillary real property, business interests or income that shall be affected by this Agreement or, alternatively, that Vendor shall file with City an affidavit disclosing this interest. 21. General Compliance with Laws. Vendor will keep fully informed of federal, state and local laws and ordinances and regulations which in any manner affect those employed by Vendor, or in any way affect the performance of the Services by Vendor. Vendor will at all times observe and comply with these laws, ordinances, and regulations and will be responsible for the compliance of Vendor's Services with all applicable laws, ordinances and regulations. 22. Discrimination and Harassment Prohibited. `.': idor will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment. 23. Termination. This Agreement, including the license, may be terminated by the City or Vendor for convenience and without cause upon ten (10) days advance written notice to the other party. If City terminates this Agreement for convenience, Vendor will have an opportunity to informally address any City questions to each party's mutual satisfaction within the ten (10) day termination period, as determined by City in its sole and absolute discretion. Notwithstanding anything in this Agreement to the contrary, City may, in its sole and absolute discretion, immediately terminate or suspend this Agreement on written notice to Vendor as follows: a. If Vendor (i) fails to prosecute, deliver, or perform the Services (ii) discontinues or abandons operations; (iii) is adjudged bankrupt or is reorganized under any bankruptcy law; or (iv) fails to keep in force any required insurance policies. b. Due to emergency circumstances, as determined by City. Upon termination of this Agreement, City will ba m^ n• ;rjsible for uninstalling the Lockers and removing it from the Premises at Vendor's expense. 24. Covenants against Contingent Fees.
