6.D. - Page 8 of 38 16. Integration. This Agreement, including the scope of work attached hereto and incorporated herein as Exhibit A, represents the entire and integrated agreement between City and the Collaborative and supersedes all prior negotiations, representations or agreements, either written or oral. Where the terms and conditions set forth in Exhibit A conflict with the terms and conditions of this Agreement, the terms and conditions of this Agreement shall prevail. This Agreement may be modified or amended only by a subsequent written agreement signed by both parties. 17. Miscellaneous. The laws of the State of California shall govern this Agreement and all matters relating to it and venue for state court shall be in Redwood City and for federal court in San Francisco. In the performance of this Agreement, Contractor shall abide by and conform to any and all applicable laws, including, but not limited to the Redwood City Municipal Code. 18. Inspection of Work. City shall have the right to inspect Contractor's work. Contractor will promptly correct any deficiencies identified by the City at Contractor's expense. If Contractor fails to perform the work required by this Agreement in a diligent and satisfactory manner, the City may, after thirty (30) days written notice to the Contractor, perform or cause to be performed, all or any part of the work required hereunder. Contractor will reimburse the City for any work performed, and the City may deduct the amount from any sum owed to Contractor.
