12/03/2012 1. Effective Date and Term of Contract. The term of this Contract shall cammence on (the "effective date"), and shali expire ten years thereafter, to wit, on Thereafte�-, each year upon the anniversary of the effective date, the initial term will automatically be extended as pravided in paragraph 2. 2. Renewal. Each year on the anniversary af the effective date of this Contract (hereinafter referred to as the "renewal date"}, a year shal! automaticaEly be added to the initial term of this Contract unless saoner terminated in accordance with the provisions herein. 3. No#ice of Nonrenewal. a) if either Owner or City desires in any year not to renew the Contract, that party shall serve written nnfice of nonrenewal of the Contract on the other party in acivance of the annual renewa! date of the Contract. Unless sucn notice is served by �wner to City at least ninety (90) days prior to the annual renewal date, or served by City to Owner at least sixty (60) days prior to the annual renewal date, one (1) year shall be automatically added tn the term of the Contract. b) Upon receipt by Owner of a natice af nonrenewai from City, Owner may make a written protest af the notice of nonrenewal. City may, at any time prior to the renewal, withdraw the notice of nonrenewal. c) If either Gity or Owner serves notice of intent in any year r�ot to renew the Contract, the existing Contract shall remain in effect for the balance of the period remaining since the original execution or the last renewal of the Contract, as the case may be. 4. Standards for Historical Property. During the term of this Contract, the Historic Property shall be subject to the following conditions, requirements and restrictions and �wner agrees to same: a) Owner shall preserve and maintain the Characteristics of historical significance of tha Historic Property. Attached hereta, marked as Exhibit "B," and incorporated herein by this reference, is a list of those minimum standards and conditions for maintenance, use and preservation of the Historic Property, which shalE apply to such property throughout the term of this Contract. Owner shall also comply with the requirements set forth in Chapter 40 af the Code of the City of Redwood City and with the Secretary of the Interior's Rehabilitation Standards set forth in Exhibit "D," and incorporated herein by this reference. b) Owner shaEl, where necessary, restore and rehabilitate the property according to the rules and regulations of the Office of the Historic Preservation of the State Department of Parks and Recreation and in accordance with the ATTY/AGR/2612.185/726/728 BREWSTER MII�S ACT CONTRACT R�V:11-15-12 VR Page 2 of 10 RESO. # 15236 MUFF#612
