RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDWOOD CITY (1) APPROVING, AND AUTHORIZING THE CITY MANAGER TO EXECUTE, THE AMENDED AND RESTATED AGREEMENT BETWEEN CITIES OF REDWOOD CITY AND SAN CARLOS FOR FIRE & EMERGENCY SERVICES, AND AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE AN ANNUAL UPDATED EXHIBIT C TO THE AMENDED AND RESTATED AGREEMENT, AND (2) APPROVING, AND AUTHORIZING THE CITY MANAGER TO EXECUTE, THE AGREEMENT FOR TRANSFER OF FIRE SERVICES PERSONNEL FROM THE CITY OF SAN CARLOS TO CITY OF REDWOOD CITY

All notices herein provided to be given, or which may be given, by <br /> either party to the other, shall be deemed to have been fully given when hand delivered or <br /> sent via overnight courier to: <br /> City at: City Manager <br /> City of San Carlos <br /> 600 Elm Street <br /> San Carlos, CA 94070 <br /> Lessee at: City Manager <br /> City of Redwood City, City Hall <br /> 1017 Middlefield Rd. <br /> Redwood City, CA 94063 <br /> 5. Indemnification. <br /> 5.1. Lessee shall defend, hold harmless and indemnify City, its officers, agents <br /> and/or employees from any claims for injuries to persons (inc(uding without limitation <br /> workers' compensation claims) and/or damage to property, which result from the <br /> negligent acts or omissions of Lessee, its officers, agents, and/or employees. <br /> 5.2. City shall defend, hold harmless and indemnify Lessee, its o�cers, agents <br /> and/or employees from any claims for injuries to persons (including without limitation <br /> workers' compensation claims) and/or damage to property, which result from the <br /> negligent acts or omissions of City, its officers, agents, and/or employees. <br /> 5.3. In the event of concurrent negligence of Lessee, its officers and/or employees, and <br /> City, its officers and/ar employees, then the liability for any and all claims for injuries or <br /> damage to persons and/or property shall be apportioned according to the California law <br /> of comparative negligence. This Section shall include, without limitation, any actions, <br /> claims, suits, demands, and liability of every name, kind, and description brought for, or <br /> on account of injuries to or death of any person, including Lessee and/or City, or damage <br /> RESO.15272 <br /> MUFF#304 <br />
