__ __. .. _ _......_ .. �.�._.��.._... � _ 07/22/2013 wishing to be heard on this Project at the noticed public hearing on this matter; and WHEREAS, on July 22, 2013, the City Council approved the proposed Downtown Precise Plan Amendment and the proposed Tentative Map and Downtown Planned Community Permit; and WHEREAS, the City Council has determined that the Disposition and Development Agreement between the City of Redwood City and Redwood City Partners, LLC, attached hereto as Exhibit A, would further the purposes of and appropriately implement the City of Redwood City General Plan, and the Downtown Precise Plan. NOW, THEREFORE, BE IT RESOLVED AS FOLLOWS: Section 1. The City Council finds that the above recitals are accurate and constitute findings in this matter and, together with the Staff Report and the application materials, including without limitation the Initial Study, Disposition and Development Agreement, development plan, and all other documents, reports, studies, memoranda, maps, oral and written testimony, and materials in the City's file for the applications and the Project, and all adopted City planning documents relating to the Project and the property including the City's General Plan, Municipal Code, Downtown Precise Plan, and other applicable City laws and regulations, and all associated approved and certified environmental documents, have together served as an adequate and appropriate evidentiary basis for the findings and actions set forth in this Resolution. Section 2. The City Council hereby approves the sale of the City Property pursuant to the terms of the Disposition and Development Agreement, attached hereto as Exhibit A and incorporated herein by reference, and authorizes and directs the City Manager to execute the Disposition and Development Agreement, subject to any minor, clarifying and conforming changes approved by the City Attorney. The City Council further authorizes the City Manager to take all actions necessary to carry out the Disposition and Development Agreement, including execution of the deed, parking covenant, Winslow License Agreement and Holdback Agreement attached to the Disposition and Development Agreement, and any other documents necessary to complete the transaction.
