2. Section 1.29 of the Agreement is hereby amended to read as follows: <br /> "Section 1.29. Project 'Project' means Stage 1 of the Project, Stage 2 <br /> of the Project and improvements resulting from the reconstruction, <br /> replacement, rehabilitation, remodeling, relocation and repair by the <br /> Authority of Stages 1 and 2 of the Project or any component thereof or <br /> addition thereto. `Stage 1 of the Project' means Alternative SB-B as set <br /> forth and described in the Project Report; provided, that the components of <br /> Stage 1 of the Project shall include the Facilities defined and listed in Note 1 <br /> of Subdivision B of Exhibit A hereof except where expressly stated to the <br /> contrary in this Agreement. <br /> `Stage 2 of the ProjecY means the expansion of the Joint Facilities <br /> from a designed wastewater treatment capacity volume of 24 million gallons <br /> per day average daily dry weather flow to 29 million gallons per day. Stage <br /> 2 of the Project shall be acquired and constructed in incremental substages <br /> as needed to meet the needs of the Authority and when funds are provided <br /> by the Agencies in accordance with Subdivision (b) of Section 5.6. Stage 2 <br /> of the Project is described generally in that certain report dated August 1983 <br /> entitled, "Report on Capacity Study and Long Range Plan for Wastewater <br /> Treatment Plant Enlargements, South Bayside System Authority," prepared <br /> by Kennedy/Jenks Engineers, Consulting Sanitary and Civil Engineers of <br /> Palo Alto, California." <br /> 3. Section 2.8 of the Agreement is hereby amended to read as follows: <br /> "Section 2.8. Quorum. Reauired Votes. Approvals. Members of the <br /> Commission holding a majority of the votes shall constitute a quorum for the <br /> transaction of business, except that less than a quorum may adjourn from time to <br /> time. The affirmative votes of inembers of the Commission holding at least three- <br /> fourths of the votes shall be required to adopt or amend bylaws, rules or <br /> regulations; to adopt or modify any budget; to approve any capital costs or any <br /> contract providing for an expenditure of more than $50,000, excluding consulting <br /> services contracts; to approve consulting services contracts which involve an <br /> expenditure by the Authority of more than $75,000; to approve all appropriations <br /> and transfers of funds, except expenditures under contract of$50,000 or less and <br /> 3 <br /> SBSA_J PASuppV I_052212r_120412rtorsig] <br />
