(i) revenues by class of user for the Sewer Utility System for the most <br /> recently completed fiscal year; <br /> (ii) the top ten Sewer Utility System users by revenue for the most <br /> recently completed fiscal year; <br /> (iii) a description of any revisions to the wastewater rates which were <br /> adopted or which took effect during the most recently completed <br /> fiscal year; <br /> (iv) the Sewer Utility System's revenues and expenses and Net <br /> Revenues, including debt service and coverage ratios, for the most <br /> recently completed fiscal year; and <br /> (v) a description of any additional indebtedness incurred by the City <br /> during the most recently completed fiscal year which is payable from <br /> revenues of the Sewer Utility System. <br /> (c) In addition to any of the information expressly required to be provided under <br /> paragraphs (a) and (b) of this Section , the City shall provide such further information, if <br /> any, as may be necessary to make the specifically required statements, in the light of the <br /> circumstances under which they are made, not misleading. <br /> Any or all of the items listed above may be included by specific reference to other <br /> documents, including official statements of debt issues of the City or related public <br /> entities, which are available to the public on the MSRB's Internet web site or filed with <br /> the Securities and Exchange Commission . The City shall clearly identify each such <br /> other document so included by reference. <br /> Section 5. Termination of Reporting Obligation . The City's obligations under <br /> this Disclosure Certificate shall terminate upon the payment or prepayment in full by the <br /> City of its obligations under the Financing Agreement. If such termination occurs prior to <br /> the final maturity of the Bonds, the City shall give notice of such termination to the <br /> MSRB. <br /> Section 6. Dissemination Agent. The City may, from time to time, appoint or <br /> engage a Dissemination Agent to assist it in carrying out its obligations under this <br /> Disclosure Certificate, and may discharge any such Agent, with or without appointing a <br /> successor Dissemination Agent. <br /> Section 7. Amendment; Waiver. The City may amend this Disclosure <br /> Certificate, and any provision of this Disclosure Certificate may be waived , provided that <br /> the following conditions are satisfied: <br /> (a) if the amendment or waiver relates to the provisions of Sections 3(a) <br /> or 4, it may only be made in connection with a change in <br /> circumstances that arises from a change in legal requirements, <br /> change in law, or change in the identity, nature or status of an <br /> obligated person with respect to the Bonds, or type of business <br /> conducted ; <br /> -3- <br />
